Terms of Service

Please read these terms carefully before using Magicgate. By using the Service, you agree to be bound by these Terms.

Introduction & Acceptance

Welcome to Magicgate. These Terms of Service ("Terms") govern your access to and use of the Magicgate traffic filtering and cloaking platform (the "Service"), operated by Magicgate ("we", "us", "our").

By registering for an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

Service Description

Magicgate is a traffic filtering and cloaking platform that evaluates visitor attributes against user-defined rules and returns a verdict (offer or white). The Service operates in two modes:

  • API Mode (api.magicgate.io): RESTful API endpoint that accepts POST requests and returns JSON verdicts based on API key authentication
  • Direct Mode (custom domains): Handles incoming GET requests and performs 302 redirects, proxying, or iframe embedding based on the verdict outcome

The Service includes, but is not limited to: flow management, rule configuration, traffic analytics, visitor logs, domain management, blacklist management, white page generation, API access, and real-time statistics dashboards.

Account Registration & Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately at [email protected] of any unauthorized access or security breach
  • Not share, transfer, or sell your account to any third party without prior written consent

You are solely responsible for all activities that occur under your account. Magicgate may access your account for support, maintenance, security, or compliance purposes.

Subscription Plans & Billing

4.1 Plans & Pricing

  • Magicgate offers multiple subscription tiers (Free, Lite, Starter, Pro, Business, Enterprise), each with different click quotas, flow limits, rule limits, filter access, and feature availability
  • Pricing is displayed on our Pricing page and may be updated with 30 days prior notice
  • Annual billing provides a 30% discount compared to monthly billing

4.2 Wallet-Based Billing

  • Magicgate uses a wallet-based billing system. You top up your wallet balance via credit/debit card or cryptocurrency through our payment processors
  • Subscriptions are automatically renewed from your wallet balance at the start of each billing cycle
  • If your wallet balance is insufficient at renewal time, your subscription will be suspended after a 7-day grace period
  • You are responsible for maintaining adequate wallet balance for uninterrupted service

4.3 Usage Limits

  • Free and Lite plans have monthly click limits. You will receive notifications at 80% and 90% usage
  • At 100% usage, new traffic requests will be paused until the next billing cycle or until you upgrade your plan
  • Unlimited click plans (Starter and above) are subject to fair use — excessive automated or non-genuine traffic may trigger a review

Free Trial

New users may access the Free plan at no cost, which includes 5,000 clicks per month, 1 flow, 3 rules per flow, and 4 basic filters. The Free plan is available indefinitely and requires no credit card.

During use of the Free plan, warranty, indemnification, and SLA provisions do not apply. We reserve the right to modify or discontinue the Free plan with 30 days notice.

Cancellation & No-Refund Policy

6.1 Cancellation

  • You may cancel your subscription at any time from your dashboard Settings page
  • Upon cancellation, your plan remains active until the end of the current billing period
  • After the billing period ends, your account will revert to the Free plan
  • Your data (flows, rules, statistics) will be retained for 30 days after downgrade, then permanently deleted for data exceeding Free plan limits

6.2 No Refunds

  • All subscription fees and wallet top-ups are final and non-refundable
  • Wallet balances are not refundable under any circumstances, including account closure or deletion
  • In cases of confirmed technical failures caused by the Service that prevented you from using paid features, affected users may receive compensation in the form of additional days added to the current subscription or wallet credit, at Magicgate's sole discretion
  • No refunds will be issued for partial billing periods, unused click quotas, or remaining subscription time after cancellation

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations in your jurisdiction. The Service is provided as a traffic filtering and routing tool — you are solely responsible for the content of your landing pages, offers, and campaigns.

7.1 Permitted Uses

  • Creating and managing traffic filtering flows and rules
  • Configuring visitor evaluation criteria using available filters
  • Analyzing traffic patterns through the dashboard and API
  • Managing custom domains with DNS verification
  • Creating and hosting white pages for your campaigns
  • Integrating with the Magicgate API for programmatic traffic evaluation

7.2 Prohibited Uses

  • Distributing malware, viruses, ransomware, or any malicious software through the Service
  • Hosting or facilitating phishing campaigns, identity theft, or financial fraud
  • Using the Service to send spam or unsolicited communications in violation of CAN-SPAM, GDPR, or similar regulations
  • Attempting to reverse engineer, decompile, or extract the source code of the Service
  • Bypassing or attempting to circumvent rate limits, plan restrictions, or security measures
  • Sharing account credentials or creating multiple accounts to circumvent plan limits without authorization
  • Accessing or attempting to access other users' data, accounts, or systems
  • Imposing an unreasonably large load on our infrastructure through automated means
  • Using the Service to violate any intellectual property rights, trademarks, copyrights, or patents of third parties
  • Any activity that constitutes a criminal offense under applicable law

We reserve the right to investigate and take appropriate action against anyone who violates these terms, including suspending or terminating accounts and reporting to law enforcement authorities when necessary.

Intellectual Property

The Service, including all software, algorithms, interfaces, documentation, trademarks, logos, and content created by Magicgate, is protected by intellectual property laws and remains the exclusive property of Magicgate.

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

  • You may not copy, modify, distribute, sell, or sublicense any part of the Service
  • You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • You may not use the Magicgate name, logo, or branding without prior written consent
  • You may not create a competing service using knowledge gained from using our platform

Data Ownership & User Content

You retain all ownership rights to your data, including flow configurations, rules, blacklists, white page content, and any data you submit to the Service.

Magicgate does not claim ownership of your campaign data, traffic data, or configurations. We process this data solely to provide and improve the Service.

You grant Magicgate a limited license to process, store, and transmit your data as necessary to operate the Service. This license terminates when you delete your data or close your account.

Aggregated, anonymized data (that cannot identify individual users) may be used by Magicgate to improve the Service, generate benchmarks, and conduct research.

Custom Domains

Starter and above plans allow you to connect custom domains to the Service for Direct Mode traffic filtering.

  • You must own or have legal authority to use any domain you connect to the Service
  • Domain ownership is verified through DNS record configuration (CNAME or TXT records)
  • All plans include access to the shared domain (go.magicgate.io)
  • Magicgate is not responsible for domain registration, renewal, or DNS management beyond the verification process
  • We reserve the right to remove domains that are used for prohibited activities as outlined in Section 7.2

API Usage

Pro and above plans include access to the Magicgate Management API.

  • API keys are unique to your account and must be kept confidential
  • You are responsible for all API calls made using your API keys
  • API usage is subject to rate limits as defined by your plan tier
  • We reserve the right to throttle or suspend API access in cases of abuse or excessive usage
  • API documentation is provided as-is and may be updated without prior notice

Service Level & Availability

Magicgate strives to maintain high availability but does not guarantee 100% uptime. The Service is provided on an "as is" and "as available" basis.

  • Enterprise plans include a Service Level Agreement (SLA) with specific uptime guarantees
  • Scheduled maintenance windows will be announced at least 24 hours in advance via email and dashboard notification
  • We are not liable for downtime caused by factors outside our reasonable control (see Section 15: Force Majeure)
  • Service status is available at status.magicgate.io

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Magicgate does not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times
  • Traffic filtering results will be 100% accurate in all cases
  • GeoIP, VPN/proxy detection, or bot detection databases will be complete or current
  • The Service will meet your specific requirements or expectations
  • Any errors or defects in the Service will be corrected within a specific timeframe

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAGICGATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services
  • Campaign losses due to incorrect filtering verdicts
  • Damages arising from unauthorized access to your account
  • Any damages arising from service interruptions or data loss

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU PAID TO MAGICGATE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Force Majeure

Magicgate shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters, pandemics, or epidemics
  • Acts of war, terrorism, or civil unrest
  • Government actions, sanctions, or regulatory changes
  • Infrastructure failures (hosting providers, CDN, DNS, ISP outages)
  • DDoS attacks or cybersecurity incidents beyond our control
  • Power outages or telecommunications failures

In such events, affected obligations will be suspended for the duration of the force majeure event. We will make reasonable efforts to mitigate the impact and resume normal service as quickly as possible.

Indemnification

You agree to indemnify, defend, and hold harmless Magicgate and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service or violation of these Terms
  • Your campaign content, landing pages, or offers promoted through the Service
  • Your violation of any applicable law, regulation, or third-party rights
  • Any dispute between you and a third party relating to your use of the Service
  • Your failure to maintain the security of your account credentials

Account Suspension & Termination

17.1 By You

  • You may close your account at any time from the dashboard Settings page
  • All payments are final and non-refundable upon account closure
  • Wallet balances are non-refundable upon account closure (see Section 6.2)

17.2 By Magicgate

  • We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use Policy (Section 7)
  • We may suspend access after 7 days of non-payment following subscription expiry
  • A notification of account suspension will be sent to your registered email address
  • Campaign data is retained for 30 days after suspension and may be permanently deleted thereafter
  • We reserve the right to cooperate with law enforcement in cases of suspected illegal activity

Confidentiality

Both parties agree to treat each other's confidential information as confidential and not disclose it to any third party without prior written consent. Confidential information includes, but is not limited to:

  • Account credentials, API keys, and authentication tokens
  • Campaign configurations, rules, and filtering strategies
  • Proprietary algorithms, system architecture, and technical documentation
  • Business terms, pricing arrangements, and partnership agreements

This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

  • Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation
  • Written complaints should be submitted to [email protected], and we will respond within 14 business days
  • If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration institution
  • Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice in the dashboard

Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and close your account.

General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Magicgate regarding the Service
  • No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Notices: All notices to Magicgate should be sent to [email protected]. Notices to you will be sent to your registered email address
